Terms of Service

These Terms of Service govern your access to and use of the Kogira platform, operated by Best Digital Strategies Pty Ltd (ABN 89 643 846 502) ("we", "us", or "Kogira"). By creating an account or using the platform, you agree to these terms. If you do not agree, do not use the service.

1. Acceptance of Terms

By registering for an account, clicking "I agree", or otherwise accessing the Kogira platform at app.kogira.com, you confirm that you have read, understood, and accept these Terms of Service. If you are accepting on behalf of an organisation, you represent that you have authority to bind that organisation.

2. Description of Service

Kogira is an AI-powered IT strategy platform designed for CIOs and senior technology leaders. The platform allows you to upload organisational documents (such as IT audits, assessments, and policies), and uses AI to generate strategy outputs including maturity assessments, risk registers, technology roadmaps, SWOT analyses, Target Operating Models, and related deliverables.

Additional platform capabilities include:

• RAG-powered document querying and synthesis
• Export integration with Asana
• API access via MCP Server using API keys
• Multi-tenant workspaces with Row-Level Security

We reserve the right to modify, add, or discontinue features with reasonable notice where practicable.

3. Account Registration and Security

You must provide accurate information when registering and keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and API keys, and for all activity that occurs under your account.

You must notify us immediately at legal@bestdigitalstrategies.com.au if you suspect unauthorised access to your account. We are not liable for losses resulting from unauthorised use of your credentials where you have failed to take reasonable precautions.

4. Subscription and Payment

Access to Kogira requires a paid subscription at AUD $495 per month, billed in advance. Payments are processed by Stripe. All pricing is in Australian dollars (AUD) and is inclusive of any applicable GST unless otherwise stated.

Credits. New accounts receive 10 complimentary credits on signup. Credits are consumed by AI-powered features including document parsing, RAG queries, and exports. Credits are non-refundable and do not roll over between billing periods. Kogira is not a free-tier service — continued use beyond the complimentary credits requires an active paid subscription.

Cancellation. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. We do not provide pro-rata refunds for partial months, except where required by Australian Consumer Law.

We reserve the right to change subscription pricing with at least 30 days' written notice. Continued use after the notice period constitutes acceptance of the new pricing.

5. Your Content and Data

You retain full ownership of all documents and data you upload to the platform ("Your Content"), as well as all strategy outputs generated by the platform from Your Content. We do not claim any intellectual property rights over Your Content or the outputs we generate for you.

By uploading Your Content, you grant us a limited, non-exclusive licence to process and store it solely for the purpose of providing the service to you. We will not use Your Content to train AI models or share it with third parties, except as required to deliver the service (see section 6 below regarding our AI provider).

You are responsible for ensuring you have the right to upload any content you submit to the platform.

6. AI-Generated Outputs

Kogira uses AI models to process your documents and generate strategy outputs. Kogira operates under a zero-day data retention policy with its AI providers, meaning your content is not retained by any provider after processing. The platform architecture supports multiple AI providers and can be configured at the workflow level. Enterprise clients may connect their own on-premise models or bring their own model (BYO model).

Important disclaimer. All outputs generated by the platform — including maturity assessments, risk registers, roadmaps, and any other deliverables — are decision-support tools only. They are not professional advice (legal, financial, technical, or otherwise). You are responsible for reviewing, validating, and making independent judgements about any outputs before acting on them. We make no warranty that outputs are accurate, complete, or fit for any particular purpose.

7. Acceptable Use

You agree not to:

• Upload content that is unlawful, defamatory, or that infringes any third party's rights
• Use the platform to engage in any illegal activity
• Attempt to reverse engineer, decompile, or extract source code from the platform
• Scrape, crawl, or systematically extract data from the platform by automated means
• Circumvent or attempt to circumvent any access controls or security measures
• Use the platform in a way that disrupts or degrades service for other users
• Resell or sublicense access to the platform without our prior written consent

We reserve the right to suspend or terminate accounts that violate these restrictions without refund.

8. Intellectual Property

The Kogira platform, including its software, design, algorithms, branding, and all technology underlying the service, is owned by Best Digital Strategies Pty Ltd and is protected by applicable intellectual property laws. Nothing in these terms transfers any ownership of the platform IP to you.

"Kogira" and associated marks are trademarks of Best Digital Strategies Pty Ltd. You may not use our name or marks without prior written permission.

9. Availability and Support

We make reasonable efforts to keep the platform available and operational. We perform maintenance, apply security patches, and monitor uptime. However, we do not guarantee any specific level of uptime or availability, and we do not currently offer a formal Service Level Agreement (SLA).

Support is available via email at legal@bestdigitalstrategies.com.au. We aim to respond to support requests within two business days, but this is not a guaranteed response time.

10. Limitation of Liability

To the maximum extent permitted by law (including the Australian Consumer Law), Best Digital Strategies Pty Ltd is not liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, revenue, goodwill, or business opportunity arising out of or in connection with your use of the platform.

Our total aggregate liability to you for any claim arising out of or relating to these terms or the platform — regardless of the form of action — is limited to the total subscription fees you paid to us in the three months immediately preceding the event giving rise to the claim.

Nothing in these terms excludes or limits liability that cannot be excluded under Australian law, including statutory guarantees under the Australian Consumer Law that apply to consumers.

11. Termination

Either party may terminate the service relationship at any time. You may cancel your subscription through your account settings. We may suspend or terminate your account immediately if you breach these terms, fail to pay, or if we are required to do so by law.

On termination, you will have 30 days to export your data and generated outputs. After that period, we may delete your account data. We encourage you to export any material you wish to retain before cancelling.

12. Governing Law

These terms are governed by the laws of New South Wales, Australia. You and Kogira submit to the exclusive jurisdiction of the courts of New South Wales for the resolution of any disputes arising under or in connection with these terms.

13. Changes to These Terms

We may update these terms from time to time. Where we make material changes, we will notify you by email to the address associated with your account at least 14 days before the changes take effect. Continued use of the platform after that notice period constitutes your acceptance of the updated terms.
